1: to secure against hurt, loss, or damage
2: to make compensation to for incurred hurt, loss, or damage


The Nonprofit Corporation Act permits both voluntary and mandatory indemnification of directors.  Voluntary indemnification is addressed in Section 902 of the Utah Revised Nonprofit Corporation Act, while mandatory indemnification is addressed in Section 903.  Advancing expenses for directors is addressed in Section 904.
